1. Acceptance of Terms
These Terms and Conditions govern your access to and use of the Apohenia website, booking flow, content, communications, and services. By using the website, submitting information, booking a strategy session, or engaging Apohenia, you agree to these Terms.
If you are using the website or services on behalf of a company, you represent that you have authority to bind that company. If you do not agree, do not use the website or services.
2. Services Overview
Apohenia provides growth and implementation services for vehicle rental businesses and startup rental operators. Services may include advertising strategy, booked-job campaigns, website creation, customer-portal direction, contract-flow support, AI-assisted workflow planning, follow-up automation, CRM configuration, and related implementation work.
The exact scope, deliverables, timelines, pricing, acceptance criteria, and performance terms for paid work must be stated in a signed proposal, order form, statement of work, invoice, or service agreement.
3. Website Information Is Not a Guarantee
Website copy may describe expected targets, examples, service models, or common outcomes, including booked-job targets and per-booked-job pricing. Those statements are not guarantees unless a signed agreement expressly says they are guarantees.
Results depend on factors outside Apohenia's control, including the rental offer, fleet availability, pricing, location, response speed, customer service, reputation, sales process, compliance, ad platform behavior, market demand, and client cooperation.
4. Strategy Sessions
A strategy session is an exploratory business conversation. Booking a session does not create a client relationship, guarantee acceptance into any service, reserve capacity, or obligate Apohenia to provide services. We may decline, reschedule, or cancel a session when appropriate.
You agree to provide accurate information when booking and to attend at the scheduled time. Repeated no-shows, inaccurate submissions, spam, or abusive conduct may result in cancellation or refusal of service.
5. Client Responsibilities
Clients are responsible for providing accurate business information, timely feedback, platform access, brand assets, offer details, fleet availability, service-area details, legal requirements, and any information necessary to complete agreed work.
You are responsible for the legality, safety, availability, pricing, and fulfillment of your rental services.
You are responsible for responding to prospects, honoring bookings, maintaining vehicles, handling customer disputes, and complying with rental laws and platform rules.
You must not provide false, misleading, infringing, unlawful, confidential, or unauthorized material.
You must maintain appropriate insurance, licensing, business registrations, tax compliance, rental agreements, and customer screening procedures for your own business.
6. Pricing, Booked Jobs, and Payments
Any displayed pricing, including references to a cost per booked job, is subject to the final signed agreement. A signed agreement may define what counts as a booked job, when it is billable, how disputes are handled, and what records are used to verify performance.
Unless otherwise stated in a signed agreement, fees are due according to invoice terms, payment processor terms, or the agreed billing schedule. Late payments may result in paused work, withheld deliverables, termination, collection efforts, or additional fees where permitted by law.
7. Advertising and Ad Spend
Apohenia may run high-converting ads on behalf of clients under the structure stated in the signed agreement. If website copy states that clients do not pay ad spend, that statement applies only to the specific offer and terms made available by Apohenia at that time and may change for future engagements.
Ad platforms can reject ads, suspend accounts, change costs, alter delivery, or restrict targeting. Apohenia is not responsible for platform decisions, client platform history, policy violations, market changes, or limitations caused by missing client materials.
8. AI, Automation, and Drafting Support
AI-assisted workflows and contract drafting support are operational tools, not legal, financial, insurance, tax, or compliance advice. Client should review all AI-generated output and legal documents with qualified professionals before using them with customers.
Automations can reduce manual work, but they still require oversight. Client is responsible for monitoring automations, reviewing messages, honoring consent and communication rules, preventing unauthorized access, and ensuring that customer-facing workflows remain accurate and lawful.
9. Third-Party Platforms
Services may rely on third-party platforms, including calendar tools, CRMs, form tools, ad platforms, payment processors, hosting providers, email providers, AI tools, analytics tools, and client-owned software. Those platforms are governed by their own terms, policies, pricing, availability, and data practices.
Apohenia is not responsible for outages, policy changes, deleted data, access restrictions, billing changes, integrations, or security events caused by third-party platforms outside our control.
10. Client Content and Approvals
Client grants Apohenia permission to use client-provided materials, brand assets, copy, images, business details, account access, and files as needed to perform the services. Client represents that it has the rights necessary to provide and use those materials.
When client approves copy, ads, pages, automations, forms, documents, or workflows, client accepts responsibility for their use in the client business, subject to any written correction obligations in the signed agreement.
11. Intellectual Property
Unless a signed agreement states otherwise, Apohenia retains ownership of its pre-existing methods, templates, frameworks, processes, know-how, code patterns, internal tools, and reusable systems. Client receives the rights to final deliverables described in the signed agreement after all required payments are made.
Apohenia may use general knowledge, skills, ideas, and non-confidential lessons learned from providing services, as long as we do not disclose client confidential information.
12. Confidentiality
Each party may receive non-public business information from the other. The receiving party must use reasonable care to protect confidential information and use it only for the relationship, except where disclosure is required by law or the information becomes public without breach.
13. Compliance for Rental Businesses
Client is solely responsible for complying with laws and obligations that apply to its rental business, including consumer protection, advertising, insurance, taxes, vehicle condition, driver eligibility, data privacy, text and email consent, discrimination laws, local permits, and contract enforceability.
Apohenia may help design operational flows, but we do not replace legal counsel, accountants, insurance professionals, or compliance advisors.
14. Prohibited Use
You may not use the website or services to commit fraud, violate law, infringe rights, transmit malware, scrape or attack systems, misrepresent identity, harass others, submit unlawful content, bypass security, or use Apohenia work product for an illegal or deceptive business.
15. Cancellation, Pausing, and Termination
Cancellation, pausing, rescheduling, refund, and termination rights are governed by the applicable signed agreement. Apohenia may pause or terminate services for nonpayment, lack of cooperation, unlawful conduct, platform access issues, abusive behavior, or material breach.
16. Disclaimers
The website and services are provided on an "as available" basis unless a signed agreement states otherwise. To the fullest extent permitted by law, Apohenia disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, and error-free operation.
Apohenia does not guarantee revenue, profit, ad approval, platform availability, customer quality, show-up rate, close rate, rental fulfillment, legal compliance, or business success unless expressly stated in a signed agreement.
17. Limitation of Liability
To the fullest extent permitted by law, Apohenia will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages arising from the website, services, ads, automations, third-party platforms, or client business operations.
To the fullest extent permitted by law, Apohenia's total liability for any claim related to the website or services will not exceed the amount paid by client to Apohenia for the specific service giving rise to the claim during the three months before the event at issue, unless a signed agreement states a different limit.
18. Indemnification
You agree to defend, indemnify, and hold harmless Apohenia from claims, losses, liabilities, damages, costs, and expenses arising from your business operations, your content, your misuse of the website or services, your violation of these Terms, your violation of law, or your infringement of any third-party rights.
19. Privacy
Our Privacy Policy explains how we collect, use, protect, and share information. By using the website or services, you also agree to the Privacy Policy.
20. Governing Law and Disputes
Unless a signed agreement states otherwise, these Terms are governed by the laws of the state where Apohenia is organized or principally operates, without regard to conflict-of-law rules. Venue, arbitration, notice, and dispute-resolution procedures may be further defined in a signed agreement.
21. Changes to Terms
We may update these Terms from time to time. The updated version will be posted on this page with a new last-updated date. Continued use of the website or services after an update means the revised Terms apply going forward.
